1. Definitions
For the purposes of these Terms and Conditions:
- "Bellavine", "we", "us", "our" refers to Bellavine, registered at 113 Jalan Conlay, 50450 Kuala Lumpur, Malaysia.
- "Client", "you", "your" refers to any individual or entity engaging Bellavine's services or using this website.
- "Service" refers to any rental advisory service offered by Bellavine, including the Expatriate Transition Package, Dual-Key Living Advisory, and Renewal and Renegotiation Service.
- "Agreement" refers to the engagement agreement formed when a client confirms engagement of a Service in writing.
- "Website" refers to the Bellavine website accessible at https://bellavile.life
2. Acceptance of Terms
By using this website or engaging Bellavine's services, you confirm that you have read and understood these Terms and Conditions and agree to be bound by them. You must be at least 18 years of age and have the legal capacity to enter into a binding agreement. If you are engaging services on behalf of an organisation, you represent that you are authorised to do so.
3. Description of Services
Bellavine provides property rental advisory services in Kuala Lumpur, Malaysia. Our services are advisory in nature. We do not hold a position as a licensed real estate agent in circumstances where such licensing would be required under Malaysian law for transactional representation. Our services include property search guidance, lease review, landlord communication facilitation, and transition coordination, as described in individual service specifications.
Services are available to clients in Malaysia and internationally, provided the subject property is located within the Kuala Lumpur region. We reserve the right to decline to engage on any matter at our discretion.
4. Engagement and Agreement
An engagement begins when both parties have agreed in writing to the scope, fees, and terms of a specific service. Written confirmation may be by email or signed engagement letter. Verbal discussions prior to written confirmation do not constitute an engagement agreement. We will provide a written scope summary before any chargeable work commences.
5. Client Responsibilities
To enable effective advisory, clients are expected to:
- Provide accurate and complete information about their requirements, timeline, and circumstances
- Respond to communications within a reasonable timeframe
- Notify us promptly of any changes that affect the scope of the engagement
- Use our services only for lawful purposes
- Not engage in conduct that interferes with the professional relationships we manage on their behalf
Advisory outcomes may be affected by inaccurate information provided by the client. Bellavine is not liable for adverse outcomes resulting from information the client has not disclosed.
6. Intellectual Property
All content on the Bellavine website — including text, structure, and visual design — is the intellectual property of Bellavine. You may not reproduce, copy, or redistribute website content without written permission. Materials prepared by Bellavine specifically for a client engagement are for that client's personal use only and may not be shared commercially without consent.
7. Fees and Payment
Service fees are set out in the engagement confirmation provided prior to work commencing. All fees are quoted and payable in Malaysian Ringgit (RM). Bellavine accepts payment by bank transfer. A deposit may be required prior to commencement of certain services. The full balance is due upon completion of the agreed scope unless staged payment terms are specified in the engagement agreement.
Any third-party costs incurred in the course of an engagement — including legal fees, registration fees, or banking charges — are separate and payable directly to the relevant third parties. These are not included in Bellavine's advisory fees unless explicitly stated in writing.
Refunds are at Bellavine's discretion. Where an engagement is terminated by the client before completion, any deposit paid is non-refundable unless otherwise agreed in writing.
8. Advisory Limitations and Disclaimers
Bellavine's services are advisory. We provide information, guidance, and facilitation; we do not make decisions on behalf of clients. Property rental decisions remain entirely the client's responsibility. Our assessments are based on information available at the time of engagement and may not capture all risks or considerations.
We do not provide legal, financial, tax, immigration, or regulatory advice. Where these areas are relevant to a client's situation, we recommend consulting qualified professionals. Any general information provided in this regard is for context only.
Our services are provided on an "as available" basis. We cannot make commitments regarding specific outcomes of lease negotiations, as these depend on third-party decisions outside our control.
9. Limitation of Liability
To the extent permitted by Malaysian law, Bellavine's total liability arising from or in connection with any engagement shall not exceed the advisory fees paid by the client for the specific service to which the claim relates. We are not liable for indirect, consequential, or punitive damages, including loss of business, loss of opportunity, or any claim arising from decisions made by a client on the basis of our advisory that did not achieve expected results.
10. Indemnification
You agree to indemnify Bellavine from any claim, cost, or liability arising from your misuse of our services, your provision of inaccurate information, or your violation of these Terms and Conditions.
11. Termination
Either party may terminate an engagement by written notice. If Bellavine terminates due to client conduct that is unprofessional, harmful, or in violation of these Terms, fees paid for work completed to that point are non-refundable. Upon termination, Bellavine will deliver any materials prepared to date if fees for that work have been settled.
12. Dispute Resolution
In the event of a dispute, both parties agree to first attempt to resolve the matter informally by written correspondence. If informal resolution is not achieved within 30 days, the parties may seek mediation through an agreed mediator in Kuala Lumpur. These Terms are governed by the laws of Malaysia, and any unresolved matters shall be subject to the exclusive jurisdiction of the courts of Malaysia.
13. Changes to These Terms
We may update these Terms and Conditions from time to time. Changes will be published on this page with a revised effective date. Continued use of our services after changes take effect constitutes acceptance of the updated Terms. We will notify active clients of material changes by email where a valid address is held.
